Republic of Serbia Securities Commission adopted the Rulebook on the Official Information Register.

The Rulebook on the Official Information Register (Register) of the Republic of Serbia Securities Commission (SEC) has been published in the Official Gazette (No. 22/17) of the Republic of Serbia.

The Register is a public, unique and centralized electronic database managed by SEC, which records:

  • All information related to the public companies in accordance with Law on Capital Market
  • All registers that SEC needs to keep in accordance with Law on Capital Market

By the Rulebook, public companies are obliged to provide information such as:

  • Periodic information: annual, semiannual and quarterly financial reports
  • Occasional notifications on: changes in rights that securities bear, crossing control thresholds, buy-back of own shares, shareholders meeting, dividend distribution, proposals on amendments of Articles of Association or Articles of Incorporation, insider information and etc.

Individuals and legal entities are required to send a notification to the Register on crossing control thresholds by filling OZU form which is available on SEC web page http://www.sec.gov.rs . Information is to be received by Register only through authorized persons on the behalf of the public company or investor (e.g. when crossing control thresholds). Information submitted to the Register has to be in Serbian Cyrillic letters and signed by a qualified electronic certificate of an authorized person. The public company may provide details in other language in addition to Serbian.

Information is verified for its formal correctness before it is published in the Register.

Overview and search of the Register will be possible via the SEC web page.

Commission will not be held responsible for the truthfulness and fullness of information published on the Register.

Impact on investors: This Rulebook on the Official Information Register will be effective as of 20 March 2017.
