Slovenia: Alternative Investment Fund Managers Act implemented in Slovenia

The Alternative Investment Fund Managers Act was published in the Official Gazette on 8th of May 2015 and will be valid on 23th of May 2015.  The Act will implement EU AIFM Directive and partly implement EU Directive 2013/14/EU related to ratings of rating agencies.

 

The Act will:

  • Define and regulate the entities which are involved into AIF and private investment funds (PIF); authorised, qualified and registered AIFM, PIF and AIF custodians. The registration at the Securities Market Agency (SMA) is predicted for small AIFM in a line with the Directive.
  • Free float of capital - Regulates AIF managers from EU and third countries which execute AIF services in Slovenia and Slovene AIF managers which execute AIF services in EU and third countries.
  • Define capital requirements, accounting and data secrecy.
  • Liquidation and bankruptcy of AIF manager.
  • Marketing of AIFs in a line with the Directive and passport regime for the marketing of EU AIF by authorised EU AIFMs in Slovenia.
  • Supervision of AIF managers, supervision measures and cooperation the Securities Market Agency which is responsible for supervision of Slovene institutions with regulators in other member countries.
