Annual General Meeting Of KELER And KELER CCP

Both KELER Central Depository Ltd. (KELER) and KELER Central Counterparty Ltd. (KELER CCP) will hold their Annual General Meetings on 29 May 2015. The following major agenda points have been announced for the Annual General Meetings respectively. The summary of KELER’s agenda items include:

• Report by the Board of Directors on the 2014 business year activity
• Acceptance of the financial statements of KELER and decision on the distribution of profits
• Acceptance of the consolidated financial statements of KELER  Report
• Election of the Board of Directors’ members of KELER
• Election of the Supervisory Board’s members of KELER
• Determination of the remuneration of officers
• Election of the auditor of KELER Ltd. and determination of the fees of the auditor
• Decision to grant the waiver
• Modification of the Regulation on the remuneration of executive officers, members of the Supervisory Board and executive employees subject to Section 208 of the Labor Code and the benefits payable upon termination of the legal relationship.

• Report by the Board of Directors on the 2014 business year activity
• Acceptance of the financial statements of KELER CCP and decision on the distribution of profits
• Election of the Board of Directors’ members of KELER CCP
