The Budapest Stock Exchange Ltd. (BSE) held its Annual General Meeting on 27 May 2014 and the below resolutions have been published yesterday.

The shareholders accepted the 2013 Financial Statement, the Report of the Supervisory Board and the Report of the Independent Auditor.

BSE’s EBITDA in 2013 was HUF 877.9 million, while the profit after tax was HUF 565 million. 99.65% of the company’s profit for 2013 shall be distributed among the shareholders. The amount of the dividend per share is HUF 104.

The AGM decided to amend the Articles of Association in order to comply with the provisions of the new Civil Code that came into force on 15 March 2014.

The mandate of members of the Board of Directors and the Supervisory Board expired, thus the AGM re-elected the following members:

  • Dr. Michael Buhl - Joint CEO, CEESEG AG
  • Dr. György Bacsa - Vice President, MOL Group Business Development
  • Róbert Barlai - Managing Director, Group Treasury, OTP Bank Plc.
  • Zsolt Katona - CEO, Budapest Stock Exchange Ltd.
  • Petr Koblic - Joint CEO, CEESEG AG
  • Bálint Szécsényi - CEO, Equilor Investment Ltd.

The AGM newly elected the below members to the Board of Directors:

  • David Kučera - Secretary General, Power Exchange Central Europe
  • Zsolt Kuti - Director, MNB, the Central Bank of Hungary, Monetary Policy and Financial Analyses Directorate
  • Dr. Georg Zinner - Head of Capital Market Services, Oesterreichische Kontrollbank AG.

Michael Buhl was elected as the Chairman and Bálint Szécsényi was elected as Vice-Chairman of the Board of Directors.

The AGM newly elected the below members to the Supervisory Board:

  • Dr. Attila Dezső - Managing Partner Hungary, Dezső CHSH,
  • Eddy D’Hertoge - General Manager of KBC Securities Hungarian Branch Office,
  • Mag. Michael Unterlerchner - Management of investments in (subsidiaries and) associated companies of OeKB Group.

The Supervisory Board will elect the chairman on its next meeting.

The investors associations elected Péter Schuszter, President and CEO of Generali Asset Management Ltd., as the person representing investors’ interests.

Impact on investors: The BSE has published the resolutions of its Annual General Meeting. The AGM decided to pay out dividends for the financial year 2013 and elected new members to the Board of Directors and to the Supervisory Board.
