Measures for General Meetings during COVID-19

On 21 December, the Slovenian Securities Market Agency sent a memo to all issuers (public companies), notifying them of options for the assembly of General Meetings during the COVID-19 pandemic.

Based on the “Intervention measures Act to mitigate the consequences of the second COVID-19 wave”,  during the pandemic issuers have the following options when convening General Meetings:
       -General Meetings can be held virtually by electronic means (hereinafter Virtual Meetings).
       -The issuer's management determines the rules of procedure for Virtual Meetings.
       -The issuer is required to publish the rules of procedure when announcing the General Meeting, no later than the same day of the General Meeting. This applies also for information on how to provide the proof of appointment of a proxy with the use of electronic means, the manner of exercising voting rights and the rules of voting by post.

Impact on investors: Upon an issuer’s decision, General Meetings may be held virtually and investors can participate directly or by proxy, according to the issuer’s rules.
